LEGAL COUNSEL CONTRACT
This contract dated , whose
address is at (the Client hereinafter), AND (the Firm hereinafter), whose address at Rm.305, Wanxin Building, No.94, Dong Si
Shi Tiao, Dongcheng District, Beijing 100007, China.
In accordance with the Law of Lawyers of the Peoples Republic of China, and after
friendly negotiation, two parties hereby agree upon, and shall be bound by, the following
terms and conditions:
?. For the services to be rendered hereunder, , an attorney at , is
hereby appointed as Legal Counsel who will be a contact person and the major undertaker
in charge thereof.
?. Services rendered by the firm and its appointed attorney
a) Rendering formal or informal legal opinions in respect of day-to-day operations
and managements of the Client, supporting Clients work with laws and
governmental regulations, and protecting Clients legitimate rights and interests.
b) Formulating, reviewing and/or examining contracts and agreements which arise
from Clients manufacturing, operations, managements and other business
activities. Formulating, reviewing and/or examining Clients internal regulations
and other legal documents.
c) Providing Non-litigation legal services.
d) Participating in major business negotiation or other significant legal activities,
and preparing the relevant legal documents.
e) Providing legal information pertained to the Clients business activities.
f) Rendering legal opinion in respect of increasing the economic benefits, and
strengthening managements on the production, operations and other business
activities of Client.
g) Assisting the Client in staff training in the knowledge of laws in respect of
employment law, contract law and company law etc.
h) Providing legal opinion concerning the Clients internal administration
management.
i) Others
?. Rights the Firm and its appointed attorney enjoy
a) Look up the internal files and documents of Clients business activities when in
dealing with the legal affairs Client submits to.
b) Right to know the truth of the Client including information of production, operation,
management and relevant business activities.
c) Attend in the Clients internal meetings pertained to manufacture, operation,
management and other business activities that are held by Clients management.d) The Client shall give convenience to the work of the Legal Counsel appointed by
the Firm, including office facilities, transportation and other necessary facilities. The standard shall not less than that of a section head of the Client.
?V. Obligations and liabilities that the Firm and its appointed legal counsel shall take
a) Shall handle the legal fairs submitted by the Client timely, meticulously and
dutifully, especially shall provide his legal service in accordance with laws and pursuant to the terms and conditions of the contract hereto.
b) Shall base himself on facts and take law as the criterion, insist on fulfilling his duty according
to the laws.
c) Shall do his work within the limits of authorization of the Client and under this
contract, not exceed the limits.
d) Shall not engage in any activities that may injure the Clients legal rights and
interests, nor accept authorization by the opposite party of the Client to act as agent in a civil, economic, administrative cases or arbitration activities.
e) When a dispute between or among Clients of the same Legal Counsel happens, the Legal Counsel shall conduct conciliation for the parties on voluntary and lawful basis. The Legal Counsel shall not represent either of them to participate in the proceedings of litigation or arbitration activities.
f) The Firm agrees that any business secrets of the Client whenever they get to know from their work for the Client, which concern the manufacture, operation, management and other business secrets of the Client will be treated by the Firm in full confidence and will not be revealed to any other persons, firms or organizations..
V. The Client can contact Legal Counsel in any time whenever it has emergency legal fair, and the Client shall faithfully furnish the Legal Counsel with facts, evidences or clues of evidences in detail. And the Firm shall handle it timely and appropriately.
V?. In accordance with the Charging Standard of the Firm and pursuant to The Statutory Standards for Lawyers Fees (per year) which is due and payable Five (5) days from the date when this contract takes effect.
V?. Save as the fees mentioned in Clause VI, the Firm is entitled to charge Client additional attorney fees for the Firms agency in the litigation and arbitration cases that happen between the Client and other companies or citizens, or on the behalf of the Client to participate in the procedure of companys liquidation and bankrupt, annexation and reorganization, and other significant legal fairs.
